Hardware Rental Agreement

1. Nature of Service

By using the Atlantis platform, you ("Renter") are entering into a Hardware Rental Agreement with Neptune Customs LLC ("Provider"). This agreement governs the rental of computing power — specifically, Bitcoin mining hashrate measured in terahashes per second (TH/s) — from physical ASIC mining hardware owned and operated by the Provider.

This is not an investment, a security, or an equity stake in Neptune Customs LLC.

You are paying for access to a fixed amount of computing output for a specified time period. There is no guaranteed return from this service. Mining outcomes depend entirely on probability and Bitcoin network conditions. This arrangement is a service rental agreement and should not be construed as an "investment contract" under the Howey Test or any similar regulatory framework.

2. Payout Structure

If the mining hardware successfully solves a Bitcoin block during an active rental period, the block reward (currently 3.125 BTC) is earned and divided proportionally among all active renters based on their share of the total 115 TH/s capacity.

Payout calculation:

  • Your proportional share = (Your TH/s ÷ 115 TH/s) × Block Reward
  • Minus applicable payment processing fees based on your chosen payout method (e.g., Same-Day ACH, Standard ACH, or PayPal)

All payouts are issued in US Dollars (USD). The Bitcoin reward is converted to USD at the Time of Processing (as defined below).

"Time of Processing" defined:

The Time of Processing is the date and time at which Neptune Customs LLC initiates the BTC-to-USD conversion and payout — specifically, the moment all of the following conditions have been verified for the Renter:

  • A valid payout preference has been selected (PayPal, ACH Same-Day, or ACH Standard); bank details for ACH transfers are collected securely at this time
  • Tax Residency Status has been declared and a valid W-9 (U.S. persons) or W-8BEN (foreign persons) is on file via Tax1099.com
  • A government-issued photo ID and selfie have been submitted and reviewed
  • OFAC sanctions screening has been cleared

The BTC-to-USD conversion rate applied shall be the real-time market price as reported by CoinMarketCap (coinmarketcap.com) at the moment Neptune Customs LLC initiates the conversion. In the event CoinMarketCap is temporarily unavailable, Neptune Customs LLC may use a comparable real-time cryptocurrency market data provider and will document the source used in the transactional ledger.

Neptune Customs LLC maintains a transactional ledger recording the USD Fair Market Value of BTC at the moment it is mined (Provider's income basis) and at the Time of Processing (Renter's income basis), along with the data source used for each valuation.

Available payout methods and their associated fees:

  • PayPal (Instant) — 2.99% + $0.49 per transaction
  • ACH — Same-Day (via Melio) — 2.9% per transaction; delivered by end of business day if scheduled before 2 PM ET
  • ACH — Standard (via American Express Vendor Pay) — $0.49–$0.99 per transaction; delivered within 3 business days. Available only for cumulative payouts up to $1,999.99 per calendar year.

3. Maintenance Fee

Neptune Customs LLC retains 20% of each payout to cover ongoing operational costs including but not limited to:

  • Electricity and power infrastructure
  • Hardware maintenance, repair, and replacement
  • Internet and network connectivity
  • Facility cooling, security, and insurance
  • Administrative, legal, and compliance costs

4. Compliance & Payout Verification

Rewards will be held in a pending state until the following compliance requirements are satisfied:

Tax Documentation

Submit a W-9 (US persons) or W-8BEN (international persons) via our secure third-party partner (Tax1099.com).

Identity Verification (KYC)

Provide a government-issued photo ID and a selfie for identity verification and OFAC sanctions screening.

Sanctions Compliance

All payees are screened against the U.S. Treasury's OFAC Sanctions List. Payouts cannot be issued to sanctioned individuals or entities.

For compliance, Neptune Customs LLC collects W-9/W-8BEN forms for its internal business records. However, because all payouts are processed via qualified Third-Party Settlement Organizations (TPSOs) like PayPal, Melio, or AMEX Vendor Pay, the TPSO assumes the responsibility for issuing any applicable 1099-K tax forms to users. Neptune Customs LLC does not directly issue 1099-NEC forms.

5. Reward Forfeiture

If a Renter earns a payout but fails to complete the required compliance verification (KYC and W-9/W-8BEN) within 90 calendar days of the reward being credited, the reward will be forfeited and returned to Neptune Customs LLC.

This policy ensures that earned rewards do not remain in legal limbo and protects both parties from regulatory exposure.

6. Cancellation & Refunds

All rentals are non-refundable. Mining begins immediately upon payment confirmation, and the hardware is reserved exclusively for the Renter during the agreed period.

Pre-orders placed before platform launch may be cancelled and refunded, subject to the following:

  • A 10% cancellation fee will be deducted from the refund amount
  • Any applicable payment processing fees and associated costs will also be deducted
  • Pre-order cancellations must be requested before mining operations commence

7. No Guarantee of Return

Solo Bitcoin mining is inherently probabilistic. Neptune Customs LLC makes no guarantee that a block will be found during any rental period. The rental fee covers the cost of computing power consumed, regardless of mining outcome.

By proceeding with a rental, the Renter acknowledges and accepts this risk.

8. Hardware Downtime & Force Majeure

Neptune Customs LLC shall not be held liable for any interruption in mining services caused by events beyond its reasonable control, including but not limited to: power outages, internet or network failures, hardware malfunctions, natural disasters, government actions, or third-party infrastructure failures.

In the event of a service interruption during an active rental period that exceeds 24 consecutive hours, Neptune Customs LLC will, at its sole discretion, either extend the rental period by the duration of the outage or issue a pro-rated credit for a future rental. No cash refund will be issued for downtime events.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Neptune Customs LLC's total liability to any Renter for any claim arising out of or related to this agreement — whether in contract, tort, or otherwise — shall not exceed the total amount paid by the Renter for the specific rental period giving rise to the claim.

In no event shall Neptune Customs LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: lost profits, lost mining rewards, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.

10. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to this agreement, or the breach thereof, shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA), with the arbitration conducted in English in the State of Michigan.

You waive any right to a jury trial or to participate in a class action lawsuit. Notwithstanding the foregoing, either party may bring an individual claim in small claims court if the claim qualifies.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

11. Right to Modify Terms

Neptune Customs LLC reserves the right to update or modify this Hardware Rental Agreement at any time. Changes will be effective upon posting to this page with an updated "Last Updated" date. Continued use of the Atlantis platform after any modification constitutes acceptance of the revised terms.

For material changes, Neptune Customs LLC will make reasonable efforts to notify active renters via email or an in-app notice at least 7 days prior to the change taking effect.

12. Governing Law & Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.

Any legal proceedings not subject to mandatory arbitration (see Section 10) shall be brought exclusively in the state or federal courts located in Wayne County, Michigan, and you irrevocably consent to the personal jurisdiction of such courts.

By renting hashrate through the Atlantis platform, you acknowledge that you have read, understood, and agree to the terms of this Hardware Rental Agreement.
